The Statutory Process You Must Complete First

UK law requires freeholders of qualifying residential buildings to follow a specific process before selling to a third party. These are not optional steps — they are legal obligations. We strongly recommend instructing a solicitor experienced in leasehold law to manage this process.

Verify Leaseholder Qualification & Right of First Refusal

Landlord and Tenant Act 1987

Before marketing your freehold, you must determine whether your building qualifies under the Right of First Refusal (RFR) legislation. Your building generally qualifies if at least 50% of the flats are let to long leaseholders and no more than 25% of the total floor area is used for commercial purposes. Failure to comply with RFR obligations is a criminal offence.

Serve Section 5 Notices

Section 5, Landlord and Tenant Act 1987

Your solicitor must serve formal Section 5 Notices — also known as Offer Notices — on all qualifying leaseholders. This document sets out the proposed price and terms of the sale. The notices must be served simultaneously on all qualifying tenants and must comply strictly with the statutory requirements.

Await Leaseholder Response

Minimum 2-month acceptance period

Leaseholders have a minimum of two months to accept the offer. For the purchase to proceed collectively, over 50% of the qualifying leaseholders must agree to participate and nominate a representative buyer — typically a Right to Manage company or a newly formed purchasing vehicle.

Negotiation or Open Market Sale

Post-RFR process

If leaseholders decline or do not respond within the statutory period, you are then free to market the freehold to third-party buyers — including Abbeystone Management Limited. However, you cannot offer it to a third party at a price lower than what was offered to the leaseholders without restarting the RFR process in full.

Selling at a lower price to a third party without re-serving Section 5 Notices is a criminal offence under the 1987 Act.
